Introduction — A Message from the Founder

eventnet® was created to eliminate chance from professional networking at events. Founder Glenn Millen introduces the business, its core mission, production status, and capital raise for wholesale and sophisticated investors.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

1a. A Message from the Founder

Thank you for considering randm networks pty ltd and the seed investment opportunity presented by eventnet®.

Professional networking is consistently cited as the single primary reason individuals attend business events, trade shows, and conferences. However, despite over $1.14 trillion spent globally on event execution, the networking experience itself remains unstructured, unmeasured, and largely left to chance. Organisers sell networking as a core value proposition but lack dedicated infrastructure to deliver, capture, or report on its actual return on investment (ROI) or return on experience (ROX).

We created eventnet® as dedicated, white-label SaaS networking infrastructure designed specifically for the global Meetings, Incentives, Conferences, and Exhibitions (M.I.C.E) industry. Activated instantly via a single smart QR code embedded within an organiser's existing event registration confirmation, the platform requires zero application downloads, eliminating the onboarding friction that plagues legacy event apps. Within 60 seconds of scanning, delegates are equipped with an AI-coached elevator pitch, a real-time proximity radar, automated attendee matching, multi-language translation, and a full WebRTC-powered voice, video, and text communication suite.

Unlike early-stage ventures seeking development capital, eventnet® is already fully built, stress-tested, and deployed in production at eventnet.ai. We have eliminated technical and engineering debt by leveraging an advanced AI-assisted development model through Emergent Labs, executing over 69,500 lines of custom code across a modern React, FastAPI, and MongoDB stack.

Having completed this development phase, our immediate priority is go-to-market execution—building an enterprise sales capability to target the top 50 global event organisers via a Regional Event Manager network across six key international markets.

randm networks pty ltd is seeking AUD $2,000,000 in seed capital through a SAFE instrument featuring a USD $25,000,000 valuation cap and a 20% conversion discount. The raise is structured in two tranches: AUD $500,000 at initial close to fund immediate enterprise sales and mobile deployment, and AUD $1,500,000 following the achievement of specified client onboarding, event execution, and compliance milestones.

We welcome engagement from wholesale and sophisticated investors who understand enterprise software commercialisation and bring relevant industry, market, or strategic relationships as eventnet® enters its commercialisation phase.

SECTION 3 — HISTORY AND KEY BUSINESS MILESTONES

Established in 2025, randm networks pty ltd has progressed eventnet® from an identified market need to a deployed production product. This section outlines the Company's confirmed development and commercial-readiness milestones.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

3a. History and Key Business Milestones

randm networks pty ltd was established in 2025 as the holding company for eventnet® pty ltd and randm lifestyles pty ltd. The development of eventnet® commenced following the identification of a recurring limitation within the Meetings, Incentives, Conferences and Exhibitions industry: professional networking remained a central reason for attending events, but the process was generally unstructured and difficult for organisers and participants to measure.

Third Quarter 2025 — Concept Validation

Initial market research and product planning were undertaken to examine the networking experience across business events. Management identified an opportunity for dedicated networking infrastructure that could integrate with an organiser's existing event environment while supporting delegates, exhibitors and sponsors through a common system.

Fourth Quarter 2025 — Development Commenced

Development began using the Emergent Labs AI-assisted development environment. The proposed technical architecture was structured around React, FastAPI and MongoDB, with the product designed as an API-first system capable of supporting white-label deployment and integration with external event-registration processes.

First Quarter 2026 — Core Product Constructed

The core product environment was built across four principal components: the delegate-facing networking application, the client portal, the administration portal and the marketing website. This established the operating foundation required to manage events, participant profiles, networking activity and administrative controls.

Second Quarter 2026 — AI and Communication Features Integrated

The Company integrated its AI-assisted pitch coach, attendee-matching engine and translation functionality. WebRTC-based messaging, voice and video communication capabilities were also incorporated. These features expanded the product from a participant-discovery tool into a broader networking environment through which delegates could identify, assess and communicate with relevant contacts.

Third Quarter 2026 — Production Deployment

eventnet® was deployed into production at eventnet.ai, with all four principal product environments operational. The Company reports more than 69,500 lines of custom code and more than 160,000 lines when generated and configuration code are included. Management states that no external engineering expenditure has been incurred to date because development was undertaken through the AI-assisted environment.

The Company also conducted load testing using Locust. Under the disclosed test conditions, eventnet® recorded a 61 millisecond median response time, a 160 millisecond 95th-percentile response time and no failures across the critical API pathways tested with more than 100 concurrent users. These results demonstrate performance within the tested environment but do not substitute for ongoing security, integration and scalability testing as commercial usage increases.

July and August 2026 — Go-to-Market Preparation

During this period, the Company refined its enterprise commercialisation strategy, targeting major global M.I.C.E organisers and a secondary market of mid-tier organisers. randm networks pty ltd also engaged BizDealRoom and developed a dual-track approach involving an independent capital raise alongside potential strategic industry discussions.

As at August 2026, the live environment had recorded 99 registered users, 10 hosted events, 42 delegate profiles and three AI-matched networking connections. These figures represent early platform activity rather than established commercial traction. The next phase is focused on converting the completed product into contracted organiser relationships, live commercial deployments and recurring revenue.

4a. Typical Customers

eventnet® has been designed for organisations operating within the Meetings, Incentives, Conferences and Exhibitions industry. The commercial model distinguishes between the event organiser that contracts for the product and the delegates, exhibitors and sponsors who use its networking capabilities.

Large Global Event Organisers

The Company's initial go-to-market strategy targets leading global M.I.C.E organisers, including organisations such as RX Global, Informa Markets and Messe Frankfurt. These businesses manage portfolios of conferences, exhibitions and trade events, creating the potential for one enterprise relationship to support deployment across multiple events.

Mid-Tier Event Organisers

The secondary target market comprises organisers conducting approximately 10 to 50 events annually. These customers may represent a more accessible entry point for initial commercial adoption, live-event validation and case-study development.

Delegates

Delegates are the principal users of the networking application, designed to help them prepare a professional introduction, identify relevant attendees and communicate through the product before, during and following an event. QR-code activation and the absence of a separate application-download requirement are intended to reduce onboarding friction.

Exhibitors and Sponsors

Exhibitors and sponsors invest in events to generate awareness, establish commercial relationships and develop prospective opportunities. eventnet® is intended to provide these users with improved access to relevant participants and a clearer record of networking activity.

Commercial Model

The primary model applies a USD $20 per-participant charge, passed through by the organiser across participating delegates, exhibitors and sponsors. A secondary Lead Hub subscription model is proposed for individuals and corporate users seeking to continue networking beyond a specific event.

$20

Per-Participant Fee

USD per participant (~AUD $30.77) passed through by the organiser across delegates, exhibitors and sponsors.

$5

Individual Lead Hub

USD per month for individuals seeking to continue networking beyond a specific event.

$100

Corporate Lead Hub

USD per month for corporate accounts, subject to final commercial testing.

SECTION 6 — SWOT ANALYSIS

This analysis assesses eventnet® at its current stage: a production-deployed but pre-revenue technology business preparing for enterprise commercialisation. It presents strengths alongside genuine operating and investment risks.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

6a. SWOT Analysis

Strengths

eventnet® has progressed beyond the concept and prototype stages. Its networking application, client portal, administration portal and marketing website have been deployed at eventnet.ai, with AI-assisted and communication features operating in production.

The product addresses a recognisable activity within the events industry: helping participants identify and connect with relevant people. QR-code activation and the absence of a separate application-download requirement are intended to reduce onboarding friction. The combination of pitch coaching, attendee matching, networking discovery, communications and reporting creates a broader proposition than a single-purpose meeting scheduler.

The Company has reached its present development stage without reported external engineering expenditure. This allows the proposed funding to be directed primarily towards go-to-market execution, product scaling and organisational capability.

The initial target market is concentrated among major event organisers. If enterprise adoption is achieved, a single organiser relationship may provide access to multiple events and large participant volumes.

Weaknesses

The Company remains pre-revenue and has not demonstrated repeatable enterprise sales, contracted organiser revenue, scaled participant adoption or customer retention. Current platform activity is early-stage and should not be treated as evidence of product-market fit.

The operating structure is founder-dependent. A detailed founder biography and confirmed executive-management team have not yet been provided. Several roles central to commercial execution remain proposed post-funding appointments.

The proposed USD $20 per-participant price and 88.6% gross margin are management assumptions that require validation through live commercial deployments. Enterprise procurement, implementation and integration cycles may also be longer than forecast.

The SAFE is denominated by reference to a USD valuation cap, while funding and expenditure are expressed principally in AUD. This creates currency considerations that should be addressed in the definitive documentation.

Opportunities

A growing focus on measurable event engagement may support demand for tools that help organisers, exhibitors and sponsors assess networking activity. The return of large in-person events and increased adoption of AI-enabled business tools may also support market interest.

The initial enterprise strategy can be complemented by mid-tier organiser engagements, providing potential opportunities for earlier live deployments and case-study development.

Lead Hub may extend user engagement beyond an individual event and support recurring subscription revenue. Its commercial value remains prospective and will depend on activation, retention, data governance and willingness to pay.

Potential integration with established registration and event-management providers could expand distribution if appropriate commercial relationships are secured.

Threats

Larger event-technology businesses may introduce comparable functionality, acquire competing products or use existing customer relationships to limit market access. Competitors may also reduce pricing or bundle networking features into broader event-management contracts.

Enterprise clients may be reluctant to add another technology provider, particularly where integration, privacy, cybersecurity, participant consent or data-residency requirements are complex.

Product performance under broader commercial loads, integration with third-party systems and continued access to external AI and infrastructure providers remain ongoing technical dependencies.

The principal near-term threat is execution: the Company must convert a technically deployed product into contracted customers, successful live events and recurring revenue before available capital is exhausted.

SECTION 7 — OUR PRODUCTS AND SERVICES

eventnet® combines participant onboarding, AI-assisted preparation, attendee discovery, communications and reporting within a white-label networking environment designed for business events.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

7a. Our Products and Services

White-Label Event Networking Infrastructure

eventnet® is designed to operate as a networking layer within an organiser's event experience. Participants activate access through a QR code associated with the event-registration process. The product does not require a separate application download, reducing one potential barrier to participant onboarding.

The white-label model is intended to allow organisers to present the networking experience consistently with their event branding. The precise scope of branding, configuration, integration and service-level commitments will need to be established in each commercial agreement.

AI-Assisted Pitch Coach

The pitch coach is designed to help delegates prepare and improve how they introduce themselves and describe the connections they are seeking. The disclosed functionality uses OpenAI technology to analyse, score and propose improvements to participant pitches.

Outputs generated through this feature are intended as assistance rather than professional advice. Their usefulness depends on the accuracy and completeness of information entered by the participant.

AI Match Engine

The matching function evaluates participant profiles, stated objectives and available event information to identify potentially relevant connections. It is intended to reduce reliance on chance encounters and manual searching.

A match represents an algorithmic indication of potential relevance; it does not guarantee that participants will meet, establish a commercial relationship or generate a financial outcome.

Networking Radar

The networking radar presents potentially relevant participants through a real-time discovery interface. It is designed to help users identify who they may wish to meet within the event environment and understand the basis of a suggested connection.

The effectiveness of the radar depends on participant adoption, profile quality, permission settings and the availability of relevant event data.

Communication and Contact Tools

The disclosed communication suite includes messaging, voice and video communication, translation, contact exchange, rain-check functionality and classifications such as hot lead or maybe later. WebRTC supports the voice and video functions.

These tools allow participants to progress from discovery to communication without immediately moving to an external service. Appropriate consent, moderation, privacy and data-retention controls will remain important as usage scales.

Hero Board

The Hero Board is a live display designed for event screens. It presents networking activity intended to encourage participation and make engagement more visible within the venue. Public display settings will require appropriate participant permissions and organiser controls.

Client and Administration Portals

The client portal supports event setup, participant administration, engagement monitoring and reporting. The administration portal provides broader system-management controls. These environments are intended to allow organisers and the Company to configure and oversee event activity.

Lead Hub

Lead Hub is intended to extend professional networking beyond an individual event. Proposed subscriptions are USD $5 per month for individuals and USD $100 per month for corporate accounts. The product remains subject to commercial validation and should not be assigned a separate investment value until adoption and retention are demonstrated.

The principal eventnet® revenue model is a USD $20 per-participant charge, equivalent to approximately AUD $30.77 at the Company's disclosed exchange rate. Management forecasts an 88.6% gross margin, subject to live validation of infrastructure, AI, support and delivery costs.

SECTION 8 — COMPETITOR ANALYSIS

eventnet® operates within an established event-technology market containing specialist networking providers and larger event-management systems. Its positioning depends on the breadth, usability and integration of its networking capabilities.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

8a. Competitor Analysis

The competitive environment includes specialist event-networking products, meeting-scheduling tools and broad event-management systems. The following comparison reflects the Company's assessment and should be independently verified before investment.

Version 1.0 – August 2026

CONFIDENTIAL FOR WHOLESALE & SOPHISTICATED INVESTORS ONLY

8. Competitor Analysis

The competitive environment includes specialist event-networking products, meeting-scheduling tools and broad event-management systems. The following comparison reflects the Company's assessment and should be independently verified before investment.

Competitor Valuations (AUD) — Cvent: ~$7,080M (Blackstone acquisition, 2023); Grip: ~$60.46M (Tracxn, 2024); Swapcard: ~$33.85M (midpoint, Dealroom, 2024); Brella: ~$15.38M (Series A, 2021). All figures are approximate and converted from USD at prevailing rates.

Grip

Grip provides AI-assisted matchmaking and networking capabilities for events and was acquired by RX Global. Grip's valuation has been reported at approximately AUD $60.46 million (USD $39.3 million), per Tracxn, 2024. Its presence within the RX Global group demonstrates strategic interest in event-networking technology.

Management considers Grip's ownership structure to limit its availability to organisers competing with RX Global. The Company also differentiates eventnet® through QR-based activation, AI-assisted pitch coaching and its integrated communication capabilities. Investors should independently confirm Grip's current functionality, availability and commercial positioning.

Brella

Brella provides networking, matchmaking and meeting-scheduling functionality for events. Brella raised a Series A round of approximately AUD $15.38 million (USD $10 million) in 2021. It is an established participant within the specialist event-networking category and therefore validates demand for products intended to improve attendee connections.

Swapcard

Swapcard provides a broader event-management and engagement environment that includes networking functionality. Swapcard's enterprise value has been reported at approximately AUD 27.69–40 million (USD $18–26 million), per Dealroom, 2024. Its established customer base and broader product suite may allow organisers to obtain networking features as part of a more comprehensive contract.

Cvent

Cvent is a major global event-technology provider with capabilities spanning registration, venue sourcing, marketing, attendee management and analytics. Cvent's enterprise value has been reported at approximately AUD $7.08 billion (USD $4.6 billion), following its acquisition by Blackstone in 2023. Its scale, established customer relationships and investment resources make it both a potential strategic participant and a significant competitive consideration.

Other Competitive Alternatives

eventnet® also competes with organiser applications, badge-scanning products, professional social networks, messaging services, spreadsheets, manually scheduled meetings and informal networking. These alternatives may not reproduce the full proposed functionality, but they may be familiar, inexpensive or already embedded in an organiser's processes.

Company Positioning

Management believes eventnet® is differentiated by combining QR-code activation, AI-assisted pitch preparation, attendee matching, real-time discovery, voice and video communication, contact exchange, event displays and networking reporting in a white-label product.

This differentiation remains a management position rather than an independently established competitive advantage. Commercial validation will require evidence that organisers value the combined capability, can integrate it efficiently and will pay the proposed per-participant price rather than use existing or bundled alternatives.

SECTION 9 — ROADMAP AND GROWTH OPPORTUNITIES

The SAFE has a stated valuation cap of USD $25,000,000, equivalent to approximately AUD $38.46 million using the Company's disclosed AUD/USD 0.65 exchange rate.

The funding is structured in two tranches. Tranche 1 comprises AUD $500,000 payable at the initial close. Tranche 2 comprises AUD $1,500,000 and is proposed to be released after satisfaction of any three of four specified milestones.

The stated milestones are:

  1. Four clients onboarded under signed agreements.
  1. Initial live events completed with measurable data.
  1. A complete documentation and compliance package delivered.
  1. The proposed TWIYO advisory engagement formalised.

The precise definition, evidence requirements, assessment responsibility, timing and waiver provisions applying to each milestone should be documented in the definitive SAFE and associated funding agreements.

Sales and Business Development — 40%: AUD $800,000

This allocation is intended to fund a Vice President of Sales, two Business Development Managers, direct engagement with leading global M.I.C.E organisers, industry-event participation and associated travel.

Enterprise sales represent the principal use of funds because the Company must convert its deployed product into signed organiser agreements and recurring revenue.

Product and Engineering — 25%: AUD $500,000

This allocation is intended to support recruitment of a Senior Mobile Developer, iOS and Android deployment, platform scaling and continued API development.

Although the core product is operational, commercial adoption will require continuing work across integration, reliability, security, documentation, monitoring and support. This expenditure should therefore be understood as commercial-scale product development rather than initial product construction.

Marketing and Brand — 20%: AUD $400,000

This allocation is intended to support enterprise positioning, case-study development, content, industry public relations and sales-enablement materials.

Marketing activity should remain aligned with demonstrated capabilities and should not present management forecasts, competitive assessments or potential strategic transactions as established outcomes.

Operations and Working Capital — 15%: AUD $300,000

This allocation is intended to fund legal work, intellectual property protection, insurance, administration and general working capital. Management describes this amount as providing an operating buffer of approximately six months, subject to actual recruitment timing, commercial expenditure and revenue generation.

Use of Capital — AUD $2,000,000

The four allocations total AUD $2,000,000 and reconcile to 100% of the proposed raise. Actual expenditure may vary within the authority provided by definitive investment documents and board-approved budgets. Investors should request a detailed monthly cash-flow forecast, hiring plan and reporting framework before completion.
